1. APPLICABILITY AND SCOPE
The following General Terms and Conditions (GTC) apply to all services provided by Paul Althaus, operating as ALTHS STUDIO, hereinafter referred to as the ‘AGENCY’, for the client. The client agrees to these conditions when placing or confirming an order, for example by email. The GTC can be found as an attachment to the budget offer email. These General Terms and Conditions apply to all future orders within the current business relationship, even if they are not expressly included, unless otherwise agreed. Deviating, conflicting, or supplementary general terms and conditions of the client are not part of the contract unless the AGENCY expressly agrees in writing.
2. INQUIRY
The client has contracted Paul Althaus, operating as ALTHS STUDIO, for the services listed in promotion of the titled project, for which services the AGENCY shall be compensated by the client as listed in the applicable offer.
3. SCOPE
The services listed in the offer embody the entire scope of the AGENCY’s work on the client’s project. Further services required by the client necessitate a new written agreement before work begins. Before commencing any work or additional services beyond this agreement, the AGENCY will submit an estimate. All parties will discuss it and the client’s written permission will be required before proceeding.
4. ROUNDS OF CORRECTION
The offer includes one round of correction for each asset.(If not agreed otherwise). In this sense, an asset is the grouping of a meaningful subset of the product’s components. As long as correction rounds remain within a reasonable scope and do not greatly exceed the anticipated time, the AGENCY reserves the right to decide whether to charge a surcharge for these correction rounds.
5. PROJECT SUCCESS AND ARTISTIC FREEDOM
The project is considered successfully completed if it meets the requirements and conceptual demands of the client. As this is an artistically creative activity, the AGENCY reserves the right to decide when the project can be treated as successfully completed from all artistically creative aspects. The AGENCY assures the client that it will use all reasonable means to implement these aspects in the client’s sense.
6. TIME CALCULATION
The total time in working days planned for each task is the multiplication of the value of AMOUNT with DAYS, where DAYS is defined as a weekday of eight hours. Where the value of AMOUNT is undefined because a task has no repetition, the value of DAYS describes the total time in working days planned for that task.
7. SPECIAL PAYMENT DUE DELAYS
The AGENCY has the right to charge the client an additional surcharge for work performed on weekends or national holidays, due to short deadlines, or for delays in the process attributable to the client. The AGENCY must expressly list this surcharge in its calculation or, if it arises during processing, immediately inform the client.
8. COSTS
The costs of each task are the multiplication of the values of AMOUNT and DAYS with PRICE/D. The total cost is listed under TOTAL and contains all listed taxes. The currency is € (EURO).
9. DEADLINE
Both client and AGENCY agree to the deadline listed in the applicable offer or discussed vie E-mail. The client will promptly deliver all assets necessary for the deadline to enable the AGENCY to process the tasks on time. Delays in the process attributable to the client have a corresponding effect on the deadline.
10. PAYMENT
The client agrees to pay the AGENCY no later than 14 days after receipt of invoice, unless otherwise expressly agreed.
11. TERMINATION
In the event of project termination, the client declares readiness to remunerate services provided up to the termination declaration in accordance with the cost calculation. The AGENCY reserves the right to decide whether to charge the full amount of the calculated costs.
12. RIGHT OF USE
Title to all products remains with the AGENCY until final payment is received. After full payment, exclusive use of all products created under this agreement transfers to the client. Usage does not include the right to modify or resell the product. The AGENCY also retains all rights to elements of deliverables that form part of its own process and are not specifically designed or created for the client.
13. COPYRIGHT VIOLATION
The AGENCY guarantees, to the best of its integrity, knowledge, and belief, that its work will not violate the copyright of any other party. Should judgment arise after project completion, the AGENCY is not liable for similarities. The client guarantees that it owns, or has the authority to permit the use of, any content provided for incorporation into the product; that, to the best of its knowledge, this content and any trademarks do not infringe third-party rights; and that it will comply with applicable licensing agreements governing third-party materials. The client agrees to be responsible and not to cause damage to the AGENCY.
14. SELF-PROMOTION
The client grants the AGENCY permission to publish any product for purposes of self-promotion. The AGENCY guarantees that such publication will take place at a reasonable time and only upon request to the client.
15. AGREEMENT
By signing the budget offer and moving forward with the project, the client agrees to the project terms, budget, and payment by the invoice due date. © ALTHS STUDIO 2026
